Welcome to ELC UK LTD (“Company,” “we,” “our,” or “us”). By engaging with our services, whether through our website, direct sales, or other communication channels, you agree to comply with and be bound by these Terms and Conditions.

1. Introduction

We are a wholesaler and retailer supplying, importing, and distributing food ingredients, frozen, chilled, and ambient products to businesses such as takeaways, restaurants, pizza shops, burger shops, and catering services. Our products and services are available to businesses that own and operate within these sectors.

Prices are updated daily, weekly, or monthly as necessary without prior notification. To confirm current prices, customers must contact our office.

2. Account Registration

  1. To place an order, you need to create an account.
  2. You are responsible for maintaining the confidentiality of your account details.
  3. We reserve the right to suspend or terminate accounts if fraudulent activity is suspected.
  4. Account registration is available through our website or direct communication, and upon validation, we create an account in our system.
  5. All communications, including updates, invoices, and offers, will be sent via WhatsApp, email from our official business contact ending in @elcuk.com, or via office lines.

    3. Ordering and Payment

    1. All orders are subject to stock availability.
    2. We accept card payments (excluding American Express), Google Pay, and Apple Pay.
    3. Orders require full payment before processing.
    4. A Proforma Invoice is issued, payment is received, and then goods are processed and dispatched based on availability.
    5. A final invoice is provided, and customer accounts are credited/debited accordingly in our internal ERP system.
    6. If applicable, previous account credit amounts can be applied upon customer request, subject to an account credit check which may take up to 48 hours.

    4. Pricing and Taxes

    1. Prices are listed in GBP and are exclusive of VAT unless stated otherwise.
    2. Certain products are subject to VAT, which will be displayed at checkout.
    3. Prices may change due to market conditions, manufacturer costs, and operational costs. We update our prices daily, weekly, and monthly as necessary.
    4. Any promotional offers are subject to availability and can be withdrawn at our discretion.
    5. We reserve the right to cancel any promotions or discounts at any time; however, discounts applied to processing orders will remain valid for that order.

    5. Delivery and Shipping

    1. Customers will be informed of available shipping methods and applicable delivery costs at the time of placing an order online or by contacting our office.
    2. We offer free delivery in many parts of England and Wales, subject to a minimum order amount.
    3. Delivery is only available to business shop locations; we do not deliver to residential addresses.
    4. Delivery routes are scheduled Monday to Friday, and customers are informed of their assigned delivery day.
    5. Customers must provide accurate delivery information; we are not responsible for delays due to incorrect details.
    6. We will endeavour to accommodate a preferred delivery time range, but we CANNOT guarantee exact delivery times and cannot be held responsible for delays.
    7. We only deliver to the entrance of your business premises. Our drivers and delivery personnel are not responsible for placing goods inside storage areas. If you instruct them to do so, you accept full responsibility for any issues arising from this action.
    8. Customers must notify the office, driver, and our staff of any special delivery instructions before placing orders.
    9. Minimum order values and charges:
      1. £200 minimum order for free delivery in areas such as Birmingham, Walsall, Coventry; otherwise, a £20 delivery charge applies.
      2. £250 minimum order for free delivery in areas such as Oxford, Leicester, Northampton; otherwise, a £25 delivery charge applies.
      3. £300 minimum order for free delivery in areas such as Cardiff, Barry, London; otherwise, a £30 delivery charge applies.

    6. Returns and Refunds

    1. All returns from previous orders must be authorised by office staff, who will provide instructions on the return or repayment process.
    2. We do not accept returns unless the products are damaged at the time of delivery, defective at the time of delivery, or incorrect at the time of delivery.
    3. If returns or replacements are approved by our office, the items must be in good condition, correctly packed, and undamaged. All details must be documented on the delivery note and signed by the customer.
    4. Customers must check the goods and sign the delivery note upon receipt of goods, confirming that all items are correct and in good condition. Once signed, no discrepancies can be raised.
    5. If a returned item is frozen, it must remain frozen. We will not accept or replace defrosted items.
    6. To report damages or incorrect products, customers must provide the batch number of the item(s) along with images that clearly show the defects or damages. This allows us to confirm and process the return, credit on account or replacement request.
    7. We only add credits to your account when a return request has been accepted.

    7. Cancellations

    1. Orders can be cancelled before dispatch for a full refund or credit.
    2. Once an order has been dispatched, cancellations are not permitted.

    8. Data Protection and Privacy

    1. We collect and process customer data in compliance with GDPR and other applicable data protection laws.
    2. We use customer data only for order processing, account management, and marketing (if opted in).
    3. We do not sell or share customer information with third parties.
    4. Customers will receive updates on their purchases via WhatsApp.
    5. We may send promotional messages, offers, and news via WhatsApp or email. Customers who wish to opt out must contact the office to be removed from these communications.

    9. Limitation of Liability

    1. We are not liable for any indirect, incidental, or consequential damages arising from the use of our services.
    2. We do not guarantee uninterrupted or error-free operation of our systems.
    3. Our liability is limited to the purchase price of the affected order.

    10. Intellectual Property

    1. All content (text, images, logos) related to our business is owned by us and may not be copied or reproduced without permission.

    11. Invoice and Delivery Confirmation

    1. The final and primary invoice for any purchase is the Delivery Note / Invoice handed to the customer upon delivery.
    2. Any changes, missing items, or returns must be recorded on the delivery receipt and signed by the customer at the time of delivery.
    3. We do not update order status online. To check order status, customers must contact the office. A “Completed” status only indicates that the order has been received, and processing has begun, not that delivery has been completed.

    12. Amendments to Terms

    1. We reserve the right to modify these Terms at any time. Changes will be posted on our website, and continued use constitutes acceptance.

    13. Governing Law

    1. These Terms are governed by the laws of England and Wales.
    2. Any disputes will be resolved in the courts of England and Wales.
